Converting capital from BGN to EUR

If you run a business, here are the most important steps you need to take to be compliant by the end of the year.
1. Official conversion is just the beginning
Starting January 1, 2026, the Registry Agency will automatically convert your company's capital from BGN to EUR at the fixed exchange rate of 1.95583. It is important to know that you do not need to submit an application just for the conversion itself.
However, the real work for the business begins after that.
2. Update deadline: December 31, 2026
The law requires every company (LLC, EOOD, AD) in Plovdiv to bring its documents into line with the new currency. By the end of 2026, you are required to:
- Approve amendments to the articles of association or the partnership agreement.
- Record the converted capital in the documents.
- Publish the updated document in the Commercial Register.
3. Flexibility in conversion (The ±5% Rule)
To avoid complex calculations with many decimal places, the law allows for a so-called technical adjustment of up to 5% of the capital. This allows you to:
- Round up or down the total capital (for example, from 51.13 euros to 52 or 50 euros).
- Change the number and nominal value of shares for more convenient accounting.
- Important: The main requirement is that the ratio between the partners remains unchanged.
Example: With a capital of 50 BGN (25.56 EUR), you can choose to have the capital be exactly 25 EUR, divided into 25 shares of 1 EUR.
